Eligibility
To use Smart Refill, you must:
- Be at least eighteen (18) years of age;
- Have the legal capacity to enter into binding agreements;
- Use the Services in compliance with applicable laws and regulations; and
- Provide accurate and complete registration information.
If you are using Smart Refill on behalf of a business or organization, you represent that you have authority to bind such entity to these Terms.
Description of Services
Smart Refill provides software and technology solutions that may include:
- Water station management systems;
- Customer management tools;
- Delivery and dispatch management;
- Rider management;
- Inventory and sales monitoring;
- Reporting and analytics;
- Customer ordering applications;
- SMS, email, and notification services;
- Payment integrations; and
- Other related software and technology services.
River Tech Inc. may modify, improve, suspend, or discontinue any feature of the Services at any time.
Account Registration
Users must create an account to access certain Services.
Users agree to:
- Provide accurate information;
- Maintain updated account details;
- Protect login credentials;
- Restrict unauthorized access to their account;
- Notify River Tech Inc. of any unauthorized use.
Users are responsible for all activities conducted through their accounts.
Acceptable Use
Users agree not to:
- Violate any law or regulation;
- Upload false, misleading, or fraudulent information;
- Attempt unauthorized access to systems or data;
- Interfere with platform operations;
- Upload malicious code, viruses, or harmful software;
- Use the platform for unlawful purposes;
- Reverse engineer, copy, or exploit the software beyond permitted use;
- Circumvent security measures or subscription controls.
River Tech Inc. reserves the right to suspend or terminate accounts engaged in prohibited activities.
Customer Data and Water Station Responsibilities
Water stations remain solely responsible for:
- Customer information uploaded to Smart Refill;
- Obtaining required customer consents;
- Compliance with privacy and data protection laws;
- Accuracy of imported data;
- Communications sent to customers.
By uploading customer information, the water station represents and warrants that:
- The information was lawfully collected;
- Appropriate consent or legal basis exists;
- The information may be processed through Smart Refill.
Customer Data Import Acknowledgment
By uploading, importing, or entering customer information into Smart Refill, the water station acknowledges and agrees that it has obtained all necessary consent, authorization, or lawful basis required under applicable laws, including the Data Privacy Act of 2012, to collect and process such information.
The water station authorizes River Tech Inc. to process such information solely for the purpose of providing Smart Refill services and remains fully responsible for the legality of the collection and upload of such information.
Data Controller and Data Processor
For customer information managed through Smart Refill:
- The water station acts as the Data Controller.
- River Tech Inc. acts as the Data Processor.
River Tech Inc. processes information solely for the purpose of providing the Services and does not assume responsibility for the legality of customer information collected by water stations.
Subscription Plans and Fees
Certain Services may require payment of subscription fees.
Users agree that:
- Fees are charged according to the selected plan;
- Fees may be modified upon prior notice;
- Failure to pay may result in suspension or termination of Services;
- Taxes, government fees, and regulatory charges may apply where required.
Unless otherwise stated in writing, subscription fees are non-refundable.
Free Trials and Promotional Offers
River Tech Inc. may offer free trials, discounts, promotional pricing, or special programs.
We reserve the right to modify or discontinue promotional offers at any time without liability.
Intellectual Property
All rights, title, and interest in Smart Refill and related technology remain the exclusive property of River Tech Inc.
This includes:
- Software applications;
- Source code;
- Databases;
- Designs and interfaces;
- Documentation;
- Trademarks;
- Logos;
- Trade names;
- Business processes;
- Automation systems;
- APIs;
- Artificial intelligence features;
- Customer applications developed by River Tech Inc.;
- Future updates, enhancements, and improvements.
No ownership rights are transferred to users.
Users receive only a limited, non-exclusive, non-transferable, revocable license to use the Services.
Ownership of Customer Data
Customer information uploaded to Smart Refill remains owned by the respective water station and/or customer.
River Tech Inc. does not acquire ownership rights over customer information.
Users grant River Tech Inc. permission to process, store, transmit, backup, and manage such information solely as necessary to provide the Services.
Availability of Services
While River Tech Inc. strives to maintain reliable Services, we do not guarantee uninterrupted availability.
Services may be unavailable due to:
- Maintenance;
- Upgrades;
- Internet disruptions;
- Third-party service failures;
- Security incidents;
- Force majeure events.
Third-Party Services
Smart Refill may integrate with third-party providers, including:
- Payment gateways;
- SMS providers;
- Email providers;
- Cloud hosting services;
- Analytics services.
River Tech Inc. is not responsible for the performance, availability, or policies of third-party services.
Limitation of Liability
To the maximum extent permitted by law:
River Tech Inc., its directors, officers, employees, affiliates, contractors, and partners shall not be liable for:
- Loss of profits;
- Loss of business opportunities;
- Data loss;
- Service interruptions;
- Indirect damages;
- Incidental damages;
- Consequential damages;
- Special damages.
The total liability of River Tech Inc. shall not exceed the amount paid by the user to River Tech Inc. during the twelve (12) months preceding the event giving rise to the claim.
Indemnification
Users agree to defend, indemnify, and hold harmless River Tech Inc., its officers, directors, employees, affiliates, and agents from any claims, damages, liabilities, penalties, costs, and expenses arising from:
- Violation of these Terms;
- Misuse of the Services;
- Unlawful collection or processing of customer information;
- Violation of privacy laws;
- Infringement of third-party rights;
- User-generated content or communications.
Suspension and Termination
River Tech Inc. may suspend or terminate access to the Services if:
- Users violate these Terms;
- Subscription fees remain unpaid;
- Fraudulent or illegal activities are suspected;
- Platform security is threatened.
Termination does not relieve users of outstanding payment obligations.
Confidentiality
Users agree not to disclose confidential information relating to:
- Smart Refill technology;
- Software architecture;
- Business processes;
- Pricing structures;
- Trade secrets;
- Security measures.
This obligation survives termination of the Services.
Force Majeure
River Tech Inc. shall not be liable for delays or failures resulting from causes beyond its reasonable control, including:
- Natural disasters;
- Floods;
- Earthquakes;
- Fire;
- Government actions;
- Internet outages;
- Cyberattacks;
- Labor disputes;
- Power interruptions.
Changes to the Terms
River Tech Inc. may update these Terms from time to time.
Updated Terms will be published through the platform or official communication channels.
Continued use of the Services following publication of changes constitutes acceptance of the revised Terms.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines.
Any dispute arising from or relating to these Terms shall be subject to the jurisdiction of the appropriate courts located in the Philippines.
