Welcome to Smart Refill, a platform operated by River Tech Inc., doing business under the trade name *Smart Refill* (“Smart Refill,” “we,” “our,” or “us”).

These Terms of Service (“Terms”) govern your access to and use of the Smart Refill platform, applications, and related services (collectively, the “Services”). By creating an account or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. About Smart Refill

Smart Refill is the Philippines’ first AI-powered platform designed for water refilling stations. We help station owners, staff, and businesses streamline operations, manage customers, and grow with technology-driven tools.

2. Eligibility

To use Smart Refill, you must:

  • Be at least 18 years old.
  • Register with accurate information.
  • Be authorized to represent your refilling station or business.

We reserve the right to verify eligibility and decline service if requirements are not met.

3. Your Account

  • Responsibility – You are responsible for keeping your account credentials secure.
  • Authorized Users – If you grant staff access, you are responsible for their activity.
  • Accuracy – Keep your business and contact details accurate and updated.

4. Use of Services

When using Smart Refill, you agree to:

  • Use the platform only for lawful business purposes.
  • Comply with all applicable health, water quality, and regulatory standards.
  • Not misuse, reverse-engineer, or interfere with the platform’s operation.
  • Not use Smart Refill for fraudulent, harmful, or unauthorized activities.
  • Allow Smart Refill to send automated transactional messages (e.g., order confirmations, delivery updates) to your customers on your business’s behalf via SMS or email to facilitate the Services.

5. Service Features

Smart Refill provides tools including (but not limited to):

  • Smart Dashboard for business operations.
  • AI-powered insights and automation.
  • Customer acquisition through River Mobile App and Smart Refill Business.
  • CRM, loyalty, and communication tools.
  • Compliance support for water safety and accreditation.

We may add, improve, or modify features over time. Some features may require internet access or compliance with additional policies.

6. Payments & Fees

  • Some Services may require subscription or usage-based fees.
  • Prices, billing cycles, and accepted payment methods will be communicated at signup or before purchase.
  • You are responsible for all charges incurred under your account.
  • Late or failed payments may result in suspension or termination of Services.

7. Data & Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and safeguard your information.

You retain ownership of your business and customer data. By using our Services, you grant Smart Refill a limited license to process and store data solely to operate and improve the Services.

8. Intellectual Property

  • Smart Refill owns all rights, titles, and interests in the platform, including software, branding, and designs.
  • You may not copy, modify, distribute, or resell any part of Smart Refill without written consent.
  • You retain rights to content you upload (such as business names, customer details, or branding).

9. Service Availability

  • We aim for high availability but cannot guarantee uninterrupted or error-free operation.
  • Offline mode and backups help ensure continuity, but you acknowledge occasional disruptions may occur.
  • We are not liable for delays or failures caused by internet outages, third-party providers, or factors outside our control.

10. Termination

We may suspend or terminate your access if you:

  • Violate these Terms.
  • Fail to pay applicable fees.
  • Engage in fraudulent, abusive, or illegal activities.

You may stop using Smart Refill at any time by closing your account. Certain obligations (e.g., outstanding payments) will continue after termination.

11. Limitation of Liability

To the maximum extent permitted by law:

  • Smart Refill is not liable for indirect, incidental, or consequential damages.
  • Our total liability for any claim related to the Services will not exceed the amount paid in the last 12 months (if any).
  • We do not guarantee specific business outcomes (such as sales or customer growth).

12. Indemnification

You agree to indemnify and hold Smart Refill harmless from claims, damages, or expenses arising from:

  • Your misuse of the Services.
  • Your violation of laws, regulations, or these Terms.
  • Disputes between you and your customers or third parties.

13. Changes to Terms

We may update these Terms to reflect improvements, regulatory changes, or new features. Updates will be posted on our website, and your continued use means acceptance of the revised Terms.

14. Governing Law & Disputes

These Terms are governed by the laws of the Philippines. Any disputes will be handled in the appropriate courts within the Philippines.
